A Close Corporation under
The Wyoming Close Corporation Supplement
 
FIRST: The undersigned, Kurt Jakobson, whose post office address is Post Office Box 32202, Baltimore, Maryland 21282, being at least eighteen years of age does hereby form a corporation under the General Law of the State of Wyoming.
 
SECOND: The name of the corporation (which is hereinafter called the corporation) is: Astronomy-Travel, LLC.
 
THIRD: The Corporation is a close corporation as authorized by the Wyoming Close Corporation Supplement. FOURTH: The purposes for which the corporation is formed are as follows:
 
1. To organize and conduct tours in conjunction with the solar eclipse 2001 which will occur on 21 June 2001
 
2. To organize and conduct tours for similar astronomical events in the future
 
3. To produce and market souvenirs of such events, including, but not limited to videos, CD´s, photographs, books, etc.
 
4. To conduct any other lawful related business including the organization of tours for other purposes
 
FIFTH: The post office address of the principal office of the corporation in this state is 200 West 17th Street, Cheyenne, Wyoming 82001. The name and address of the resident agent of the corporation is Corporate Service Center of Wyoming, Inc. Said Resident Agent is a corporation incorporated in this State and actually doing business at 200 West 17th Street, Cheyenne, Wyoming.
 
SIXTH: The total number of shares of stock, which the corporation has authority to issue, is Five Thousand (5,000) shares of no par value, all in one class. These shares will be entitled to receive the net assets of the Corporation upon dissolution.
 
SEVENTH: The address for mailing the Annual Report Form is Post Office Box 32202, Baltimore, Maryland 21282.
 
EIGHTH: The duration of this corporation shall be perpetual.
 
NINTH: These Articles of Incorporation may be amended by the unanimous vote of the shares of stock outstanding unless otherwise provided by law.

Astronomy-Travel, LLC will make its best efforts to provide all services as described. But many factors are beyond control of the organization. Especially, we cannot control the weather-conditions. Ultimately, should nature not cooperate, the organization cannot provide compensation to its surely disappointed clients. Likewise, should the flood of demand services cause some unexpected disturbance in either the travel schedule or in the reservations or commitments we have from the airline, the airport or other service providers, we will do our best to find alternatives but ultimately cannot be responsible for such disruptions which are not within our control. You should be aware that demand for facilities and services at times of total solar eclipses or other astronomical phenomena is often so intense that even guaranteed, prepaid contracts are sometimes not honored by businesses in foreign countries. We make every effort to ensure that our contractors are reliable, and/or that alternative arrangements can be made on short notice whenever possible.
 
We also will do our best to ensure that all scheduled services are strictly adhered to, but should illness, injury, or other events beyond our control interfere, we will try to substitute.
 
If something unexpected prevents part or the whole expedition - such as a political, a technical event or a natural disaster - we will refund that portion of costs which is not already spent or is refundable to us. But some portions of the costs must be paid well in advance, and might not be refunded in full to us, even under such circumstances. All we can assure you is that Astronomy-Travel, LLC and its personnel will not keep back any of your money if the expedition is unable to perform and will act diligently to recover all funds already expended on your behalf.
 
All members of the journey have to take care of carrying valid personal travel documents.
 
All participants have to make their own customary arrangements for accident and health insurance. No insurance is provided by Astronomy-Travel, LLC. Travelers might wish to consult medical advice about vaccinations and health risks.
 
Astronomy-Travel, LLC cannot be made responsible for any illness, accident and/or criminal action nor for any legal, customs or other problem occurring with officials or security personal during the journey.
 
Your payment of the ticket price acknowledges and accepts these conditions.
